CODE OF CORPORATE CONDUCT AND ETHICS

1. Our Commitment to IntegrityPetrogress firmly stands on a foundation of lawful, transparent, and ethical corporate conduct across all global operations. Every individual representing the enterprise—from local team members to executive officers and board directors—is expected to lead by example, prioritize rigorous safety metrics, and diligently guard the company’s physical and intellectual assets.

2. Guidance & Decision-MakingThis comprehensive policy outlines the defining core values that govern our daily business decisions. Intended as a universal compass, the framework assists our workforce in identifying and navigating complex ethical scenarios, strictly complying with regional and international law, and honoring our core promises to stakeholders.

Accountability & EnforcementAny direct violation or non-compliance with these established policies will result in swift administrative action. Disciplinary measures may include formal suspension or immediate contract termination, alongside civil or criminal legal proceedings where statutory boundaries have been crossed.

Operational legitimacy relies on strict adherence to all statutory frameworks governing our multi-jurisdictional presence, including the Republic of the Marshall Islands, Greece, and the United States. Because regulatory infractions threaten our corporate standing and carry severe individual liabilities, every team member must cultivate a functional awareness of the mandates shaping their daily tasks. When legal uncertainties arise, seeking direct guidance from our counsel is a mandatory operational requirement.
Maintaining objective professional judgment requires avoiding any external relationship—whether financial, personal, or commercial—that compromises or appears to bias decisions made on behalf of Petrogress. To protect this transparency, new personnel are required to execute a formal Conflict Statement upon onboarding. Furthermore, our Board's Audit Committee preemptively audits and approves all related-party transactions, ensuring full compliance with SEC and marketplace rulebook parameters.
Safeguarding our proprietary trade secrets, financial models, customer registries, and specialized operational workflows is a core requirement of employment. Individuals bear total responsibility for the physical and digital security of all Petrogress assets in their possession, which may include consenting to onsite property inspections when security or safety concerns are compromised. Upon joining, team members execute comprehensive covenants detailing explicit post-employment non-compete and non-solicitation restrictions that remain binding for a designated period.
All capital allocations, asset transfers, and incoming receipts must be rigorously authorized and recorded within our primary ledger systems. Our public financial disclosures are strictly benchmarked against GAAP and SEC guidelines, making it vital for anyone contributing data to ensure reports are complete, accurate, and highly transparent. Maintaining unrecorded funds or creating deceptive accounting entries is strictly forbidden; our workforce is expected to cooperate completely with independent auditors and our internal accounting division to preserve bookkeeping integrity.
Honest, ethical engagement forms the foundation of our relationships with corporate regulators, market suppliers, and the public. We strictly prohibit gaining an unfair competitive edge through deceptive statements, fraudulent asset allocation, or the exploitation of privileged inside information. Employees must present our corporate capabilities strictly in accordance with certified specifications, and must never circulate defamatory or inaccurate rumors regarding market competitors.
Personnel are strictly prohibited from exploiting commercial pathways, property insights, or professional connections discovered through their official tenure for private advancement. Direct competition with the enterprise is forbidden. Any viable business opportunity identified via company infrastructure must be presented to Petrogress executives first for official corporate evaluation.
Preserving enterprise value requires vigilant stewardship of both physical facilities and proprietary tech stacks. Everyone must actively defend company hardware, inventory, and office resources against theft, carelessness, or waste, ensuring these utilities are deployed exclusively for verified corporate initiatives.
Diligently archiving historical operational records is essential for complying with environmental, tax, labor, and industry-specific statutes. Core instruments—such as official correspondence, transactional ledgers, and personnel files—must be preserved in strict alignment with company archival timelines. Under no circumstances may documents tied to active, pending, or anticipated legal proceedings be destroyed, as doing so directly threatens our compliance standing.

Questions

If you have any questions concerning this Code, please feel free to consult with your supervisor or the Legal advisors.

Waivers

If a situation should arise where you believe that you should take a course of action that would likely result in a violation of the Code, but for which you believe that there is a valid reason for such action, you should contact the Company's counsel to seek a waiver prior to the action.
